Terms of Service
By engaging the services of Web Edge Consulting LLC ("Agency", "we", "us"), you ("Client") agree to be bound by the following terms and conditions. These terms govern the provision of all consulting services.
1. Scope of Services
The Agency will provide the consulting services as described in a mutually agreed upon Statement of Work (SOW). The SOW will detail the specific deliverables, timelines, and scope for the engagement. Any services requested outside this scope will require a new agreement.
2. Payment Terms
Client agrees to pay the fees as outlined in the SOW. Most services are billed on a monthly retainer basis and are payable in advance of each service period. Invoices are due upon receipt. The Agency reserves the right to suspend services for overdue accounts.
3. Client Responsibilities
The Client must provide timely access to all necessary resources, including but not limited to, website back-end access, ad account credentials, analytics platforms, and brand assets. The Client is responsible for the accuracy and legality of all content and materials provided to the Agency.
4. Confidentiality
Both parties agree to treat all non-public information received from the other party as confidential. This includes strategic plans, performance data, and proprietary business information. This obligation of confidentiality will survive the termination of our agreement.
5. Intellectual Property
The Client shall retain ownership of all its pre-existing intellectual property. All deliverables created by the Agency specifically for the Client under the SOW (e.g., ad copy, custom reports, content) shall become the property of the Client upon full and final payment for the services.
6. Limitation of Liability
The Agency will perform its services to a professional standard but does not guarantee specific results or outcomes. Performance is subject to external factors beyond our control. In no event will Web Edge Consulting LLC be liable for any lost profits or indirect, consequential, or punitive damages.
7. Term and Termination
The initial term of the agreement will be defined in the SOW. Following the initial term, the agreement may continue on a month-to-month basis. Either party may terminate the agreement by providing written notice as specified in the SOW, typically 30 days.
